By using Stargate Labs' platform and services, you agree to these Terms of Service. If you do not agree, please do not use our services.
Stargate Labs operates as an influencer marketing platform that matches e-commerce brands with content creators on Instagram and TikTok. We facilitate campaigns on a performance basis, earning 20% of sales generated by influencer-referred customers.
To use our services, you must: (a) be at least 18 years old, (b) have a valid e-commerce business with appropriate licenses, (c) operate legally in your jurisdiction, and (d) have products/services compliant with platform policies.
You are responsible for: maintaining account confidentiality, providing accurate information, compliance with all applicable laws, intellectual property rights, and product/service legality. You agree not to misrepresent your business or engage in fraudulent activities.
Stargate Labs: (a) identifies and vets influencers, (b) negotiates terms on your behalf, (c) manages campaign execution, (d) tracks sales attribution, and (e) handles influencer payments. You approve all influencer selections and campaign content before launch.
You pay Stargate Labs 20% of attributed sales revenue from influencer campaigns. Payment is due within 30 days of campaign completion. We reserve the right to audit sales records to verify accuracy.
Influencers retain rights to content they create. You may use content for promotional purposes with influencer consent. You warrant that products/services shown do not infringe third-party IP rights.
To the maximum extent permitted by law, Stargate Labs is not liable for: indirect damages, lost profits, business interruption, or damages exceeding the fees paid in the past 12 months. We make no guarantees regarding sales results or influencer performance.
Our services are provided "as is" without warranties of any kind. We do not guarantee specific sales results, influencer availability, audience demographics, or campaign success. Influencer performance varies and depends on market conditions.
You agree to indemnify Stargate Labs against claims arising from: your products/services, violation of laws, IP infringement, misleading marketing, or breach of these terms.
Either party may terminate this agreement with 30 days' written notice. Upon termination: ongoing campaigns complete per contract, final payments are due, and data access ceases.
Any disputes shall be governed by Delaware law. Both parties agree to attempt good-faith resolution before pursuing legal action. Any litigation occurs exclusively in Delaware courts.
Stargate Labs may update these terms at any time. Continued use of our platform constitutes acceptance of updated terms.
We collect: business information (company name, industry, products), contact information (email, phone, address), payment information (processed securely), campaign data (content, performance metrics), and technical data (IP address, browser type, usage patterns).
We use your information to: provide and improve services, process payments, communicate campaign updates, analyze performance, detect fraud, comply with legal obligations, and market our services.
We share data with: influencers (as necessary for campaigns), payment processors (securely), service providers under confidentiality agreements, and legal authorities when required by law. We do not sell personal data to third parties.

We retain data as long as needed to provide services and comply with legal requirements. You may request data deletion subject to legal obligations to retain records.
